Terms & Conditions

(Staff Payroll Platform – Contracting Entity: Staff Payroll Pte. Ltd.)

1. Contracting Entity

All services provided through the Staff Payroll platform are offered by Staff Payroll Pte. Ltd., unless otherwise stated in a specific written agreement.
By using the platform or engaging services, you acknowledge that your contractual relationship is with Staff Payroll Pte. Ltd. 

2. Acceptance of Terms

By accessing or using the Staff Payroll platform, you agree to be bound by these Terms & Conditions. If you do not agree, you must discontinue use of the platform.

3. Platform Use

Users agree to use the platform solely for lawful business, compliance, and market-entry purposes and must not:


• Misuse or interfere with platform operations
• Attempt unauthorized access
• Submit false or misleading information 

4. Client Responsibilities

Clients are responsible for:

• Providing complete, accurate, and timely information
• Reviewing deliverables and filings
• Meeting statutory deadlines where client action or approval is required

Staff Payroll Pte. Ltd. is not responsible for delays or errors arising from incomplete or inaccurate client-provided information.

5. Use of Subcontractors & Local Partners

Staff Payroll Pte. Ltd. may engage local professional firms, advisors, or service providers as subcontractors to perform services.

Clients acknowledge that:

 

• Certain services must be executed by locally licensed professionals
• Staff Payroll Pte. Ltd. remains responsible for service coordination
• Professional judgments and regulatory decisions are subject to local law and authorities 

6. Fees & Payments

Service fees are payable to Staff Payroll Pte. Ltd. in accordance with the agreed commercial terms.

Unless otherwise stated:

• Fees are non-refundable once services have commenced
• Government fees, statutory charges, and official filing costs are payable directly to the relevant local authority or local service provider and are not included in Staff Payroll Pte Ltd’s service fees, unless expressly agreed otherwise in writing.

7. Intellectual Property

All platform software, systems, workflows, documentation templates, and related content made available through the Staff Payroll platform are the intellectual property of Staff Page Pte. Ltd. or its licensors and are used by Staff Payroll Pte. Ltd. under a valid license arrangement.

Unauthorized use, reproduction, modification, or distribution of any platform materials is strictly prohibited. 

8. Limitation of Liability

To the maximum extent permitted by law, Staff Payroll Pte. Ltd. shall not be liable for:

• Indirect or consequential losses
• Loss of revenue, profit, or business opportunity
• Regulatory delays or authority decisions

Any liability shall be limited to the fees paid to Staff Payroll Pte. Ltd. for the relevant service period. 

9. Suspension & Termination

Staff Payroll Pte. Ltd. may suspend or terminate access to the platform if users:

• Breach these Terms
• Engage in unlawful or abusive conduct
• Misuse the platform 

10. Governing Law & Jurisdiction

These Terms & Conditions shall be governed by and construed in accordance with the laws of Singapore, unless otherwise expressly agreed in writing.

11. Amendments

Staff Payroll Pte. Ltd. may update these Terms from time to time. Continued use of the platform constitutes acceptance of updated Terms.
